Terms of Service

These Terms of Service are a general template for a school management platform. They are not a substitute for legal advice. Have them reviewed by qualified counsel for your legal entity, product features, fee structure, and dispute resolution preferences.

1. Agreement

These Terms of Service (“Terms”) govern access to and use of the SchoolHubNG website, applications, and related services (collectively, the “Service”) operated by the legal entity providing SchoolHubNG (“we”, “us”, or “SchoolHubNG”). By registering a school, creating an account, or using the Service, you agree to these Terms.

If you do not agree, do not use the Service. We may update these Terms as described in Section 14. The Privacy Policy and Cookie Policy are incorporated by reference where applicable.

2. Who may use the Service

The Service is intended for schools, educational institutions, and their authorised staff, as well as students and parents where the school enables those features. You represent that you have authority to bind your organisation when you register on its behalf, and that you are at least 18 years old (or the age of majority in your jurisdiction) when accepting these Terms personally.

3. The Service

SchoolHubNG provides cloud-based tools to help schools manage operations such as fees, students, staff, academic records, communications, and related workflows. Features may change over time. We may add, modify, or withdraw functionality, provided we act reasonably and, where material changes affect you, give notice where required by law or by a separate agreement with your school.

The Service depends on the internet and third-party infrastructure. We do not guarantee uninterrupted or error-free operation.

4. Accounts and access

You are responsible for maintaining the confidentiality of login credentials and for all activity under your account. You must notify us promptly of any unauthorised use. Schools are responsible for configuring roles and permissions for their staff and for the accuracy of data they and their users enter.

5. Customer data and your responsibilities

“Customer Data” means data you or your users submit to the Service (for example, student, parent, staff, and financial information). You retain ownership of your Customer Data. You grant us a licence to host, process, back up, and display Customer Data solely to provide and improve the Service, secure the platform, and comply with law.

You agree that:

  • you have lawful grounds to collect and upload Customer Data and, where required, have provided appropriate notices and obtained consent;
  • Customer Data is accurate to the best of your knowledge;
  • you will not upload unlawful, infringing, or malicious content;
  • you will comply with applicable education, child-protection, and data-protection obligations.

6. Acceptable use

You must not:

  • use the Service in violation of law or third-party rights;
  • probe, scan, or test vulnerabilities without authorisation, or circumvent security;
  • overload or disrupt the Service or other users;
  • copy, scrape, or reverse engineer the Service except as permitted by law;
  • use the Service to send spam or misleading communications;
  • misrepresent identity or affiliation.

We may suspend or terminate access for breach of these rules or for risk to the Service or other users.

7. Fees

Fees (if any) are described on our Pricing page and, where applicable, in an order form, invoice, or separate written agreement. If there is a conflict between this page and a signed agreement, the agreement normally prevails. Taxes may apply as required by law. Failure to pay valid fees when due may result in suspension or termination of access after reasonable notice where permitted.

8. Third-party services

The Service may integrate with third parties (for example, payment providers such as Paystack). Their services are governed by their own terms and privacy policies. We are not responsible for third-party services outside our reasonable control.

9. Intellectual property

SchoolHubNG and its licensors own the Service, including software, branding, documentation, and aggregate non-personal analytics derived from operation of the platform. Subject to these Terms and your compliance with them, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal educational and administrative purposes during your subscription or authorised access period.

10. Confidentiality

Each party will protect the other’s non-public business information that is marked confidential or reasonably understood to be confidential, using no less than reasonable care, except as required by law or to exercise rights under these Terms.

11. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty arising from course of dealing or usage. We do not warrant that the Service will meet every requirement of your school or be free of defects.

12. Limitation of liability

To the fullest extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data, arising out of or related to the Service or these Terms, except where such exclusion is prohibited by law.

Our aggregate liability arising out of or related to the Service or these Terms in any twelve-month period is limited to the greater of (a) the fees actually paid by your school to SchoolHubNG for the Service in that period, or (b) a reasonable nominal cap where no fees were paid, except for liability that cannot be limited under applicable law (such as death or personal injury caused by negligence, fraud, or wilful misconduct, where the law so provides).

Schools remain responsible for their use of Customer Data and for compliance with law; nothing in these Terms limits liability for breaches of Section 5 or 6 caused by your intentional misconduct or gross negligence, to the extent permitted by law.

13. Indemnity

You will defend and indemnify SchoolHubNG and its affiliates, officers, and employees against third-party claims, damages, and costs (including reasonable legal fees) arising from Customer Data, your use of the Service in breach of these Terms, or your violation of law, except to the extent caused by our material breach or gross negligence.

14. Term, suspension, and termination

These Terms apply from your first use of the Service until terminated. You may stop using the Service at any time. We may suspend or terminate access for breach, non-payment where applicable, legal requirement, or extended inactivity as described in our policies, with notice where reasonable and required by law.

Upon termination, your right to use the Service ceases. We may delete or retain Customer Data in line with our Privacy Policy, backup cycles, and legal obligations. Provisions that by nature should survive (including Sections 5, 8–13, 15–17) will survive termination.

15. Changes to the Terms

We may modify these Terms by posting an updated version on this page and changing the “Last updated” date. If a change is material, we will provide additional notice if required by law. Continued use after the effective date of changes may constitute acceptance; if you do not agree, you should stop using the Service.

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Courts in Lagos, Nigeria shall have non-exclusive jurisdiction over disputes arising from or relating to these Terms or the Service, subject to any mandatory provisions of law.

17. General

Entire agreement. These Terms, together with the Privacy Policy and any separate written agreement with your school, constitute the entire agreement regarding the subject matter. Severability. If a provision is invalid, the remainder remains in effect. No waiver. Failure to enforce a right is not a waiver. Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
